Liffey Metals Partner Agreement

This agreement is between you, the person named in the partner application (the "Partner", "you"), and Liffey Metals Limited, a company registered in Ireland (company number [TBC], registered office [TBC]) ("Liffey Metals", "we", "us"). It sets out how our referral partner programme works and when commission is paid.

1. What a partner does

1.1 You introduce people who may want to sell precious metal to us, or buy precious metal from us, by sharing your personal referral code, web link, WhatsApp link or QR code with your community.

1.2 You are an independent referrer. You are not our employee, agent or representative, you may not make promises or quotes on our behalf, and you must not describe yourself as part of Liffey Metals.

1.3 You may describe our service honestly and in your own words. You must not make claims about prices, timings or outcomes beyond what our website says, and you must not use our name or logo in a way that suggests we endorse your group, page or business.

2. Attribution

2.1 A person is attributed to you when they first reach us through your web link or QR code (which places a referral cookie in their browser for 90 days), through your WhatsApp link, or by telling us your code when they first request a pack or make an enquiry.

2.2 First touch wins. A person who already dealt with us, or who was already attributed to another partner, before they reached us through you is not yours, even if they later use your code.

2.3 Once a person is attributed to you, their later lots and purchases with us remain attributed to you, unless we reasonably determine the attribution was wrong.

2.4 We decide attribution in good faith from our records. Our records are final except for an obvious error.

3. Commission

3.1 On metal we buy from a person attributed to you, we pay you the buy rate shown in your partner page (currently 2% unless we agree otherwise in writing) of the amount we actually pay that person for the lot.

3.2 On anything a person attributed to you buys from us, we pay you the sell rate shown in your partner page (currently 1% unless we agree otherwise in writing) of the sale value excluding VAT.

3.3 Commission is earned only when the underlying deal completes: when we have paid the seller, or the buyer has paid us. No commission is due on lots that are declined, returned, cancelled or reversed, or on quotes that are not accepted.

3.4 No commission is paid on your own lots or purchases, or on those of your household, your business or anyone acting for you.

3.5 We may change the rates for future deals by telling you in writing or in your partner page. Commission already earned is not affected.

4. Payment

4.1 We pay commission owed at least monthly to the bank or Revolut account in your own name that you give us, and we record the payment reference in your partner page.

4.2 You are responsible for any tax due on commission you receive. Commission is paid gross. We may report payments to the Revenue Commissioners where the law requires.

4.3 If a deal is reversed after commission was paid (for example an item turns out to be stolen or a buyer's payment fails), we may deduct the commission from future payments to you.

5. Conduct

5.1 You must not spam, cold-message strangers, buy advertising using our name, or post your code anywhere its owners have not allowed.

5.2 You must not refer anyone you know or suspect is selling items that are not theirs to sell, or is acting for someone they have not disclosed.

5.3 You must keep any seller or buyer details you come across confidential, and you must not ask us for them. Your partner page shows lot numbers, statuses and amounts only.

5.4 You must tell us promptly if your contact or payout details change.

6. Ending the programme

6.1 Either of us may end this agreement at any time by telling the other in writing. We may suspend your code immediately if we reasonably believe you have broken this agreement.

6.2 Commission earned before the agreement ends is still paid on the next payment run. No commission is earned on deals that complete after the agreement ends, unless the person was attributed to you before then and the deal was already in progress.

7. Data

7.1 We hold your name, contact details, payout details and the record of what you introduced for as long as the law requires, and handle them under our privacy notice.

7.2 We may share information with the Revenue Commissioners, An Garda Síochána or other authorities where required or permitted by law.

8. General

8.1 We may update this agreement. We will tell you of material changes and the new version applies from the date we say; continuing to use your code after that date is acceptance.

8.2 Your acceptance is recorded electronically, with the date, time, IP address and agreement version, and this record is evidence of your agreement.

8.3 This agreement is governed by Irish law and the Irish courts have jurisdiction.
