Liffey Metals Seller Agreement

This agreement is between you (the "Seller") and Liffey Metals Limited, a company registered in Ireland (company number [TBC], registered office [TBC]) ("Liffey Metals", "we", "us"). It applies every time you request a pack, open an account, send us items, or sell items to us. By ticking the box and submitting, you agree to it.

1. Who can sell to us

1.1 You must be at least 18 years old and selling on your own behalf.

1.2 We may refuse any item, lot, account or transaction at our discretion and without giving a reason.

2. Your promises to us

You confirm, for every item you send or sell to us, that:

2.1 You are the legal owner of the items, or are fully authorised in writing by the owner to sell them.

2.2 The items are not stolen, borrowed, pledged, financed, subject to any dispute or claim, or the proceeds of any crime.

2.3 All information you give us (identity, address, bank details, descriptions) is true, complete and your own.

2.4 You are not selling on behalf of anyone you have not disclosed to us.

3. Stolen or disputed items

3.1 If we reasonably believe an item is stolen, disputed or connected to crime, we may hold it, hand it to An Garda Síochána or the rightful owner, and report the matter, without paying you for it.

3.2 If we have already paid you for an item that turns out to be stolen, disputed or not yours to sell, you must repay us the full amount paid, plus any reasonable costs we incur (including legal costs and any amount we pay to the rightful owner). We may deduct this from any money we owe you now or in future.

3.3 You agree to indemnify us against any loss, claim, cost or liability arising from a breach of section 2.

4. Testing and assessment

4.1 We weigh and test every item. Testing is mainly non-destructive (XRF). Where needed, we may carry out a small test on an inconspicuous area. We are not liable for minor marks caused by testing.

4.2 Our recorded weights and test results are final, except for an obvious error.

4.3 We pay for precious metal content only. Stones, pearls, enamel, base metals and other materials have no value in our quote unless we state otherwise in writing. You may ask for loose stones to be returned before you accept a quote. Once you accept, everything in the lot becomes ours.

5. Quotes and acceptance

5.1 Quotes are based on our buy price at the time of the quote and are valid for 48 hours, unless stated otherwise. We may withdraw or update a quote before you accept it.

5.2 When you accept a quote, ownership of the items passes to us and the sale is final.

5.3 We pay only to a bank or Revolut account in your own name, after your identity is verified. We aim to pay within [2] business days of acceptance. We may delay payment while we complete identity or anti-money laundering checks.

6. Declined lots and returns

6.1 If you decline a quote, we return the items once you pay the return postage at cost.

6.2 If you do not accept or decline within 30 days of our quote, and do not respond to at least two reminders, we may return the items to the address we hold for you at your cost, or, after a further 30 days, buy the items at our buy price on that day and pay you the proceeds less return and storage costs.

7. Postage

7.1 Items sent using a prepaid label we provide are our risk from when the carrier scans the parcel until it is delivered to us. If the carrier confirms a parcel is lost, our liability is limited to our buy price for the items, as reasonably determined from the description and photos you gave us before sending, up to a maximum of €[TBC] unless we agreed insured shipping in writing.

7.2 Items you send any other way, or from outside the Republic of Ireland, are at your risk until we receive them.

7.3 You must not send cash, banknotes, prohibited items or anything you have not described to us.

8. Video and records

8.1 We record the opening, weighing and testing of every lot on video. We own these recordings and may publish them. We will not show your face or name without your consent.

8.2 We keep records of every transaction, including your identity documents, your IP address, and the time you accepted this agreement, for as long as the law requires or allows.

8.3 We may share information with An Garda Síochána, regulators or other authorities where required or permitted by law.

9. Our liability

9.1 We are not liable for sentimental value, or for any indirect or consequential loss.

9.2 Our total liability for any item is limited to our buy price for that item at the time of the relevant quote or loss.

9.3 Nothing in this agreement limits liability that cannot be limited by law, or affects your statutory rights as a consumer.

10. General

10.1 We may update this agreement. The version you accepted applies to lots already sent; the new version applies once you accept it.

10.2 Your acceptance is recorded electronically, with the date, time, IP address and agreement version, and this record is evidence of your agreement.

10.3 This agreement is governed by Irish law and the Irish courts have jurisdiction.
